The internal executive battle at NVC Lighting (02222.HK) continues. This time, interim CEO Wang Donglei is threatening to completely "resign" founder Wu Changjiang [Weibo].
On August 28, NVC Lighting will hold an extraordinary general meeting of shareholders. The main topic is the removal of Wu Changjiang as executive director. Prior to this, Wang Donglei had made frequent moves and recently resigned from his position as general manager of Dehao Runda (002005.SZ). "Wang Donglei resigned from the post of general manager of Dehao Runda to free up his hands to concentrate on operating NVC Lighting. At present, it seems that the 'opposition king camp' among shareholders has become very clear. If Wu Changjiang does not make a surprise move this time, there is a high possibility that Wang Donglei will completely 'ask out' NVC Lighting." Many industry insiders interviewed by reporters said.
The removal camp is clear
The NVC Lighting board of directors announced the freezing of Wanzhou factory accounts, Wu Changjiang filed a lawsuit with the Wanzhou District Court, and an extraordinary general meeting of shareholders is about to be held... The battle between "King Wu" and NVC has become intense.
As the extraordinary general meeting of shareholders of NVC Lighting on August 28 approaches, the dispute between the "Wu Wang faction" and the controlling rights of NVC Lighting has gradually spread to all shareholders on the board of directors, and the controversy over whether Wu Changjiang's position as executive director can be removed at this shareholders' meeting has also gradually escalated.
"Now both the NVC Lighting Wu faction and the Wang faction are lobbying shareholders for control. The purpose is that both parties want to fully control NVC Lighting." An insider close to NVC Lighting told the China Times reporter.
Currently, the largest shareholder of NVC Lighting is Dehao Runda, controlled by Wang Donglei. It holds 848 million shares of NVC Lighting, accounting for 27.1% of the equity, and is the largest single shareholder of NVC Lighting. NVC Lighting Company has 12 board members. The executive directors are Wu Changjiang, Wang Dongming, Xiao Yu, and Xiong Jie; the non-executive directors are Lin Heping, Zhu Hai, Wang Donglei, and Li Wei.
On the afternoon of August 8, at a conference call of the NVC Lighting board of directors, Wu Changjiang was removed from the position of chief executive director (CEO). Wang Donglei voted to become the interim CEO, and established an emergency affairs committee with Xiao Yu and Wei Hongxiong.
The above-mentioned insider told reporters that in fact, shareholders had already begun canvassing for votes before Wu Changjiang was dismissed as CEO, but Wu Changjiang did not take any action before because of hindsight.
On August 20, NVC executive director Xiong Jie said in an interview with a reporter from the China Times that the vast majority of controlling shareholders are unanimous in the resolution to remove executive director Wu Changjiang at the extraordinary general meeting of shareholders. It is estimated that except for Wu Changjiang, 11 of the 12 directors will vote in favor.
It is still uncertain whether Wang Donglei will serve as the CEO of NVC Lighting. In an interview with reporters, Xiong Jie said that this has not yet been decided, but it is estimated that a new CEO will be hired in the future.
In this regard, on August 20, the reporter called Wu Changjiang, and a relevant person in charge said that he still had objections to the legality of this extraordinary general meeting of shareholders. The person in charge also said that it is still unclear whether Mr. Wu will participate in the board of directors. However, in terms of canvassing votes, the person said that Mr. Wu never does canvassing and the nature of the matter will be whatever it is.
The reporter also called Wu Changjiang that day, but his mobile phone was still turned off.
Insist on legal rights protection
After the breakup of the Wu-Wang Alliance, Wu Changjiang said in an interview with the media, "The three conflicts were all disputes over equity and company control, but the forms were different."
Data shows that Wu Changjiang was "kicked out" of the board of directors by senior management twice before. Wu Changjiang used dealer pressure techniques and curve regression. And can Wu Changjiang achieve a temporary flop again this time and successfully control NVC Lighting again?
The above-mentioned person from Wu Changjiang told this reporter that the company is currently trying to resolve related issues through legal means. On the one hand, because the company is a listed company registered in Cayman, the company has filed a lawsuit in the court of the Cayman Islands. In addition, regarding the official seals of the Chongqing headquarters and Wanzhou company being robbed, we have filed a lawsuit with the local court in Chongqing and the court in Wanzhou District, and it has now been accepted.
Many industry insiders interviewed by reporters told reporters that Wu Changjiang's right to speak has been greatly reduced this time, and he has no choice but to use legal means.
Can the issue of equity control be solved by law? When the reporter raised this issue to someone from Wu Changjiang, the person in charge of Wu Changjiang did not answer the reporter's question. He only emphasized that the company is currently collecting materials and is suing in court. As for whether the evidence is sufficient, "the relevant lawyers know best."
Reporters found that although the phone could not be reached, Wu Changjiang never stopped shouting on Weibo. Wu Changjiang still "screams" alone on Weibo. "I have sued Wang Donglei." On the 15th, Wu Changjiang spoke out again on Weibo, criticizing Wang Donglei who violently took over NVC: "Wang Donglei, don't shout, don't scare if you are serious!"
On the morning of August 12, a NVC dealer meeting was held in Beijing. The 19 provincial operators participating in the meeting jointly signed a statement supporting the resolution of the NVC Board of Directors and willing to continue comprehensive cooperation with NVC Lighting under the leadership of Wang Donglei.
In response, Wu Changjiang replied, "It is normal for dealers to attend the dealer meeting held by Wang Donglei, but it is not clear whether they are really towards Wang Donglei or whether they are forced to do anything." Can Wu Changjiang make another temporary flop this time?
