Leyard acquires three companies to accelerate layout of LED industry chain

According to the announcement, Leyard plans to acquire 100% of the equity of Shanghai Lanshuo Digital Technology Co., Ltd. (hereinafter referred to as "Lanshuo Technology") jointly held by Shanghai Cunshuo Enterprise Management Center (Limited Partnership) and Shanghai Ruishuo Enterprise Management Center (Limited Partnership) for 150 million. 105 million of which was used to purchase the company's equity held by Leyard's major shareholders.

Lanshuo Technology is engaged in technology development, technology transfer, technical consulting, and technical services in the technical fields of digital optoelectronic components and products, electronic products, computer software and hardware, communication equipment, and instrumentation (except measuring instruments). It is engaged in the production and sales of electronic components (LED displays), computers, software and auxiliary products. Sales of auxiliary equipment (except computer information system security products) and electronic products, leasing of self-owned equipment (not allowed to engage in financial leasing), construction of electric power construction projects, professional construction of intelligent building construction projects, professional construction of urban and road construction projects, technical defense projects, and engaging in the import and export business of goods and technology.

Another announcement showed that Leyard plans to acquire 100% of the equity of Xi'an Vanke Times System Integration Engineering Co., Ltd. for 180 million, of which 126 million of the acquisition proceeds will be used to purchase the company's equity held by Leyard's major shareholders.

Xi'an Vanke Times System Integration Engineering Co., Ltd. is a high-tech enterprise specializing in the design, construction, service and sales of related products of intelligent buildings and building and public environment lighting landscape projects. Vanke Era's promised performance from 2016 to 2018 is RMB 18 million, RMB 22.5 million and RMB 28.125 million. Vanke Era will become Leyard's bridgehead in the west and make outstanding contributions to the sales of the entire Leyard Group's business lines in the western region.

The third announcement stated that Leyard plans to acquire 100% of the equity of Sichuan Purui Lighting Company for 120 million, of which 84 million will be used to purchase the company's equity held by Leyard's major shareholder.

Puri Lighting’s general business scope includes urban and road lighting projects, building intelligent projects, mechanical and electrical equipment installation projects; and engineering design. Sichuan Purui's promised performance from 2016 to 2018 is 12 million, 15 million and 18.75 million. The addition of Sichuan Purui will enable the Leyard Lighting Business Group to cover the southwest region, thus enabling the Leyard Lighting Business Group to gradually form nationwide coverage.
